General Terms and Conditions for Memberships and Additional Services at SATS

Last updated: 1 august 2026. The applicable terms and conditions are always those published on the company's website.

1. General

These General Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or the "member") and SATS Danmark A/S, Kanalvej 1, 2800 Kongens Lyngby, Denmark, CVR no. 20370599 ("SATS", "we", "us" or "our"), when you purchase or use SATS products or services. By purchasing a membership or services from SATS, you confirm that you have read, understood, and accepted these Terms.

These Terms may be supplemented by specific rules, including club rules as well as safety and well-being guidelines. Such rules are available in all SATS clubs and on www.sats.dk ("the SATS website") and may be updated from time to time.

Temporary memberships, including trial memberships, promotional memberships, or drop-in memberships of limited duration, are considered memberships and are subject to these Terms throughout the membership period.

Certain services may also be used without a membership. When using such services, these Terms shall apply accordingly.

SATS' Privacy Policy describes how we process your personal data. Please refer to the SATS website for more information.

Separate terms and conditions apply to the use of the SATS App. Please refer to the SATS website.

2. SATS Membership

2.1 Who Can Become a Member

Membership may be entered into by individuals who are at least 18 years old and whose health condition does not make the use of the services an obvious health or injury risk.

Minors from the age of 11 may become members if a parent or legal guardian enters into the agreement and assumes the legal and financial responsibility for the membership.

If, at the time of creating the membership agreement or during the membership period, SATS has reasonable grounds to believe that the use of the services may pose an obvious risk to the member's health or safety, SATS may suspend the member's access to the services until satisfactory medical documentation has been provided. If such documentation is not provided within a reasonable period, SATS may terminate the membership in accordance with clause 7.3.

SATS reserves the right to refuse memberships to individuals who have outstanding debts to SATS or who have previously been excluded from SATS.

2.2 Membership Registration and Access to SATS Facilities

SATS offers various membership types with different prices, access levels and content. Information about available memberships is provided during registration and on the SATS website or in the SATS App. Once the membership has been created, it can be managed through My Pages.

Access to SATS clubs requires the use of a membership card or the SATS App, which can function as an access card.

When registering, the member must set up a digital payment agreement; see clause 5.

Before the membership can be activated, the member's identity must be verified in person at a SATS club by presenting valid identification. A photograph of the member will also be taken before the membership can be activated. Members must be able to identify themselves upon request in order to access SATS clubs.

Memberships are personal and may not be transferred to or used by any other person. SATS may require valid identification to be presented upon entry, and failure to do so may result in access being denied.

SATS will, as far as reasonably possible, adapt its services and opening hours to members' needs, preferences, and usage patterns. However, individual clubs may be closed or offer reduced services due to public holidays, vacation periods, maintenance, force majeure situations, or similar circumstances.

2.3 Access to SATS for Minors

For members from the age of 11, and up to and including the calendar year in which they turn 14, use of SATS facilities is conditional upon them training together with a responsible guardian.

Members may train independently from the calendar year in which they turn 15.

3. Well-being, Safety and Responsibility

3.1 Code of Conduct and Use of Our Clubs

Members must act considerately, responsibly and respectfully towards other members, employees, and third parties, and contribute to a safe, orderly, and inclusive training environment.

Behaviour that, in SATS' opinion, is harassing, threatening, discriminatory, intimidating, disruptive, or otherwise unacceptable is not permitted. The same applies to conduct that may cause personal injury or damage to equipment or property. SATS has a zero-tolerance policy towards illegal activities.

3.2 Safety Instructions

Members are required to familiarise themselves with and comply with SATS' applicable safety procedures, including instructions regarding fire safety, emergency exits, and first aid equipment.

For safety reasons and to avoid blocking evacuation routes, bags, backpacks, outerwear, and similar items may not be brought into training areas. Any local rules, signage, and instructions given by SATS employees must always be followed.

SATS uses CCTV surveillance in its clubs in accordance with applicable legislation and our Privacy Policy.

3.3 Training at Your Own Risk

Members train at their own risk and are responsible for assessing their own health and refraining from activities that are not suitable for their physical condition. This applies to all use of SATS' services.

SATS is not liable for personal injury resulting from negligent behaviour, failure to follow instructions, or use of equipment contrary to its intended purpose, regardless of whether the injury occurs during individual training or while using additional services. This does not limit SATS' liability under applicable mandatory law.

3.4 Anti-Doping

SATS cooperates with relevant anti-doping authorities. The use, possession, or sale of prohibited and/or illegal substances and doping products is strictly prohibited.

Members are required to comply with all applicable anti-doping regulations, including rules regarding doping tests upon request, as well as relevant guidelines and control procedures.

3.5 Storage of Personal Belongings

Members are personally responsible for their belongings while at SATS, including items stored in lockers. If belongings are left in lockers after the club closes, SATS may remove the lock and store the items. Lost or abandoned property will be stored by SATS for a limited period, after which it may be donated or disposed of.

SATS is not liable for theft, damage to, or loss of personal belongings brought into SATS clubs, regardless of where such belongings are stored.

3.6 Commercial Activities

Any commercial activity on SATS premises that is not conducted on behalf of SATS is only permitted with SATS' prior written consent. This includes any form of marketing, promotion, services, or content production for commercial purposes. SATS shall determine whether an activity is considered commercial.

The prohibition includes, but is not limited to, the sale or promotion of fitness services, marketing of one's own or another party's business, and the taking of photos or videos for use in advertisements, campaigns, collaborations, sponsored content, affiliate marketing, or other commercial material.

4. Additional Services

4.1 General

Members may purchase various additional services at selected SATS clubs. Availability, capacity, and scope of activities and services may vary between clubs and countries, and SATS cannot guarantee availability or participation.

Detailed rules regarding cancellations are set out in clause 7.4. Additional information regarding registration, check-in, deadlines, prices, and any limitations can be found on the SATS website and in the SATS App.

4.2 Group Training

Access to group training requires a membership that includes group training. Members may book and participate in group training classes subject to the limitations applicable to their membership type.

Registration for group training is made through SATS' current booking system. Attendance must be checked in before the applicable check-in deadline; otherwise, the spot may be allocated to another participant. Failure to cancel a booking or failure to attend may result in either a no-show fee or temporary restrictions on access to the service, in accordance with the rules set out on the website.

4.3 Personal Training

The purchase of personal training services ("PT") is subject to the applicable prices listed on the SATS website. Prices vary depending on whether the purchase relates to individual training sessions ("sessions") or packages containing multiple sessions of varying duration.

One session entitles the member to one PT session of the duration specified at the time of purchase. Unless otherwise stated, PT sessions are valid for 12 months from the date of purchase. Packages containing 50 sessions or more are valid for 16 months.

The purchase of PT sessions entitles the member to train with available personal trainers at the level specified at the time of purchase. SATS may, if necessary, assign another personal trainer of an equivalent level. In such cases, SATS will discuss alternative trainer options with the member. Such changes do not entitle the member to compensation.

The member must inform the personal trainer of any relevant injuries, illnesses, or other conditions that may affect the training.

4.4 Boot Camp

SATS Boot Camp consists of structured training led by a SATS instructor or personal trainer for a smaller group of participants, with a predefined number of sessions, duration, and scheduled training times.

SATS may, if necessary, assign another employee to lead the training. In such cases, SATS will communicate with the participants in the group. Such changes do not entitle participants to compensation.

Members must inform SATS of any relevant injuries, illnesses, or other conditions that may affect their participation in the training.

5. Payment

5.1 Membership Payments

The current price of the membership is available on My Pages.

The Member shall pay the monthly membership fee, any enrolment fee, and any additional fees and services in accordance with the applicable rates. The same applies to any parent, guardian, or other person who has assumed legal responsibility for the membership.

Membership fees and any additional charges/services are payable monthly in advance and will be charged on the due date unless otherwise agreed. Available payment methods are listed on our website. The member is responsible for ensuring that the payment agreement's spending limit covers the total monthly amount due.

For prepaid memberships covering longer periods, payment must be made for the agreed number of months. SATS will notify the member within a reasonable time before the prepaid period expires. No later than the last day of the month preceding the expiry of the prepaid period, the member must notify SATS through My Pages whether the membership should be renewed with a new prepaid period or terminated. If SATS does not receive such notification, the membership will automatically continue as an ongoing membership at the applicable price.

The member is responsible for keeping the payment agreement and payment details accurate and active throughout the membership period. If payment cannot be processed due to missing or incorrect payment information, or because the payment agreement has expired or been terminated, the payment will be considered overdue.

In the event of non-payment, SATS will send a payment reminder. If payment is still not received, a debt collection notice will be issued in accordance with applicable debt collection legislation. SATS may claim costs and interest in accordance with debt collection laws, interest legislation, and other applicable laws. Failure to make payment constitutes a breach of these Terms.

In the event of overdue payments, SATS may temporarily suspend the member's access to SATS facilities until the outstanding amount has been paid. Such suspension does not release the member from any payment obligations under the agreement, including any remaining binding period.

5.2 Payment for Additional Services

Payment for additional services shall be made in advance together with the membership fee using the payment method registered to the membership, unless otherwise specifically agreed for the relevant service.

6. Discounts

SATS may offer discounted memberships to specific groups, such as students, youths, seniors and members covered by corporate agreements, in accordance with the prices and terms published on the SATS website.

Eligibility for a discount requires valid documentation. This also applies to memberships with discounts or subsidies provided by an employer, which are considered personal memberships.

The member must notify SATS without undue delay if the eligibility for a discount ceases. If the conditions for the discount are no longer met, for example upon completion of studies or termination of employment, the monthly membership fee will be adjusted to the applicable list price regardless of any remaining binding period. The membership will continue under the ordinary terms until terminated.

7. Duration, Termination and Cancellation

7.1 Duration

The membership commences on the agreed start date as stated on My Pages. All memberships are ongoing with no fixed end date and renew automatically until terminated in accordance with the terms and conditions below.

Any binding period will be stated on My Pages.

7.2 Member Termination and Expiry of Membership

The member may terminate the membership with one (1) month's notice through My Pages. The termination takes effect at the end of the following calendar month.

If a binding period applies, the termination will take effect upon expiry of the binding period, provided that notice is given no later than the end of the second-to-last full calendar month of the binding period.

Termination during a binding period may exceptionally be approved if the member can document unforeseen circumstances that make it genuinely impossible to use the membership. SATS may offer the member the option to terminate the membership during the binding period against payment of a fixed early termination fee.

Unused services, including additional services referred to in clause 4, are non-refundable upon termination unless otherwise required by mandatory law.

Termination rights relating to price changes, amendments to these Terms, or changes to membership benefits are governed by clause 9.

7.3 SATS' Right to Terminate Membership

SATS may terminate the membership with one (1) month's written notice where there are objective reasons for doing so, including operational or safety considerations, or where the member fails to provide satisfactory medical documentation within the deadline in situations described in clause 2.1. Any prepaid membership fees relating to the period following termination will be refunded on a pro rata basis.

In the event of a material breach of these Terms, SATS may terminate the membership with immediate effect; see clause 10.

7.4 Cancellation of Additional Services

Cancellation of additional services referred to in clause 4 must, as a general rule, be made no later than 24 hours before the scheduled appointment, session, treatment or activity. If cancellation occurs after the deadline, or if the member fails to attend without timely cancellation, the member will be charged for the relevant booking or treatment.

Certain services may be subject to different cancellation policies. The applicable rules are available on the SATS website and in the SATS App.

7.5 Right of Withdrawal

You have the right to withdraw from an agreement for the purchase of a membership or services within 14 days without giving any reason.

To exercise the right of withdrawal, you must clearly notify SATS within 14 days of entering into the agreement, for example by using the standard withdrawal form: Forbrugeraftaleloven. When purchasing online, the withdrawal form will be provided by email. If the right of withdrawal is exercised, the parties' obligations to perform the agreement will cease.

If you have expressly requested that your membership or service commence before the withdrawal period expires, SATS may charge you for the part of the service already provided.

The right of withdrawal expires if the service has been fully performed before the withdrawal period expires and you have expressly consented to this in advance and acknowledged that the right of withdrawal would thereby be lost.

When the right of withdrawal is exercised, all payments received from you will be refunded no later than 14 days after we receive your notice of withdrawal. Refunds will be made using the same payment method used for the original transaction.

The right of withdrawal does not apply to purchases of additional services (except PT sessions) or products made at our physical locations.

8. Freeze and Changes to the Memberships and Additional Services

8.1 Membership Freeze

You may freeze your membership through My Pages. A freeze means that the membership is temporarily suspended for an agreed period and cannot be used during that period. Any additional services will automatically be frozen for the same period.

During the freeze period, a reduced monthly fee will be charged. In documented cases, SATS may offer a freeze without charge; see the SATS website.

A freeze may only apply to full calendar months and can take effect no earlier than the first day of the following month. The membership will automatically reactivate at the end of the freeze period but may be reactivated earlier through My Pages. In the event of early reactivation, the freeze fee will be refunded on a pro rata basis.

If the membership is terminated during a freeze period, the notice period will commence on the day after the freeze period ends. Any binding period will be extended by a number of days corresponding to the freeze period.

Additional conditions relating to freezes, including pricing, duration, frequency, and other requirements, are determined by SATS and may be amended. Current conditions are available on My Pages.

8.2 Membership Changes

You may change your membership and additional services. Membership upgrades take effect immediately, while downgrades take effect at the end of the following month.

When changing a membership and/or any additional services, the price applicable at the time of the change will apply.

9. Changes to Prices, Terms and Membership Benefits

9.1 Price Changes

SATS may adjust the price of ongoing membership agreements once per year in accordance with changes in the Consumer Price Index without prior notice.

In addition, SATS may change prices for memberships and services where necessary to cover increased costs or changed operating conditions. This includes, but is not limited to, upgrades to clubs, equipment or digital services, operating and maintenance costs, changes in legislation or public authority requirements, circumstances beyond SATS' control, and changes in market conditions. These price changes will be notified in good time and no later than 45 days before taking effect.

For price increases other than those resulting from changes in the Consumer Price Index, the member may terminate the membership with effect from the date the price increase takes effect. Notice of termination must be given in accordance with clause 7.2. If no such notice is received before the deadline, the change will be deemed accepted.

The right to terminate under this clause does not apply to price changes resulting from the expiry of introductory offers, promotional prices, discounts, or other price advantages.

For members subject to a binding period, price changes will only take effect after the binding period expires, unless the change results from the expiry of a discount as referred to in clause 6.

9.2 Amendments to the Terms

SATS may amend these Terms where necessary to improve or clarify their content, comply with legal or regulatory requirements, provide clearer information about SATS' services, clubs or digital solutions, make changes or additions to services or memberships, carry out organisational changes, safeguard security, employees or property, or adapt the Terms to force majeure situations as defined in clause 13.

SATS will notify members of changes to the Terms no later than the date the changes take effect. For material changes that are detrimental to the member, SATS will provide at least 45 days' notice. In such cases, the member may terminate the membership with effect from the date the changes take effect. Notice must be given in accordance with clause 7.2. If no termination notice is received before the deadline, the changes will be deemed accepted.

9.3 Changes to Membership Services

SATS may make changes to the services included in a membership, including temporary closure of facilities, adjustments to services, and other operational matters.

For material changes that are detrimental to the member, SATS will provide notice no later than 45 days before the changes take effect. In such cases, the member may terminate the membership with effect from the date the changes take effect. Notice must be given in accordance with clause 7.2. If no termination notice is received before the deadline, the changes will be deemed accepted.

SATS clubs vary in terms of facilities and offerings, such as equipment types and additional services, and these do not constitute guaranteed elements of the membership. SATS may change or remove such facilities, equipment, and offerings at individual clubs without prior notice, and such changes do not entitle the member to a price reduction, compensation, or any other claim against SATS.

10. Breach of the Terms

In the event of a breach of these Terms, SATS may take appropriate measures depending on the nature and seriousness of the breach. Such measures may include warnings, temporary suspension, temporary or permanent exclusion, closure of affected facilities or services, claims for damages, and/or termination of the membership.

Such measures do not release the member from payment obligations during the applicable notice period and/or binding period.

Before taking more severe measures, SATS will, where reasonably possible, inform the member.

Criminal offences will be reported to the police.

11. Communication and Notices

General information relating to the membership and any additional services will be communicated to the member using the contact details registered on My Pages.

Notices regarding changes referred to in clause 9 will be sent via SMS or email. Notices and other communications shall be deemed received when sent to the member's registered contact details.

The member is responsible for ensuring that the contact information registered on My Pages is accurate and up to date at all times.

If you have questions regarding your membership, bookings, training services, or these Terms, please contact our customer service.

12. Transfer of Rights and Obligations

SATS may transfer its rights and obligations under these Terms to another company, provided that the member's rights are not adversely affected. In the event of such assignment, SATS will provide at least 45 days' notice, and the assignment will take effect on the first day of the month following expiry of the notice period.

The member may not transfer any rights or obligations under these Terms.

13. Force Majeure

SATS shall not be liable for any failure or limitation in performance caused by force majeure.

"Force majeure" includes extraordinary events beyond SATS' reasonable control, including natural disasters, fire, flooding, pandemics, strikes, lockouts, war, governmental orders or restrictions, interruptions to electricity or network services, and similar circumstances that make performance impossible or unreasonably burdensome.

14. Disputes and Jurisdiction

In the event of a disagreement, claim, or other dispute, we ask that you first contact customer service.

You may also submit a complaint regarding your purchase from SATS to the Danish consumer dispute resolution authority (Nævnenes Hus), Mediation Team for Consumer Complaints, Toldboden 2, 8800 Viborg, Denmark, or through the official complaints portal. Complaints generally require that you have first contacted SATS and may be subject to deadlines and minimum claim values established by the authority.

Disputes may be brought before the ordinary courts at the member's general place of jurisdiction.

These Terms are governed by Danish law. In the event of discrepancies between language versions, the Danish version shall prevail.
